TERMS AND CONDITIONS
Application and Precedence of Schedules

The following Rules and Regulations are applicable to any and all shipments between the client and/or client’s vendor or customer facilities outside and within the 48 contiguous United States. These facilities shall include, but are not limited to, Corporate Headquarters, Distribution Centers, Vendor locations and Regional/District offices. These Rules and Regulations shall specifically apply to prepaid or collect shipments when client is responsible for the transportation charges.

The Rates set forth in this Transportation Agreement are applicable to any and all shipments between client and/or clients vendor or customer facilities solely within the 48 contiguous United States. Rates for international shipments will be handled on a per occurrence basis. These facilities shall include, but are not limited to, Corporate Headquarters, Distribution Centers, Retail Stores, Regional/District offices and Vendor Locations. These rates shall specifically apply to prepaid or collect shipments when client is responsible for the transportation charges.

Service Levels

Mr Right Logistics shall offer to provide Airport-to-Airport and/or Door-to-Door delivery services for the following levels. Special pickup and/or delivery charges may apply. All service is subject to the lockout times and rates set forth in Schedule B.

A. Same Day Same Day service is defined as Door-to-Door delivery on the same day of the pickup date before 23:59.

B. Next Day Next Day service is defined as Door-to-Door delivery on the next day after the shipment pickup date by the close of business.

C. Two Day Two Day service is defined as Door-to-Door delivery on the second day after the shipment pickup date by the close of business.

D. Three Day Three Day service is defined as Door-to-Door delivery three days after the shipment pickup date by the close of business.

E. Deferred Deferred service is defined as Door-to-Door Delivery Three to Five days after the shipment pickup date by the close of business.
TERMS AND CONDITIONS
The service levels on the previous page are subject to the following provisions and conditions:
A “day” shall be defined as any date Monday through Friday. Saturdays, Sundays and National Holidays will only be considered a “day” when Carrier is specifically requested to deliver on that date, in which case the applicable special pickup/delivery charges set forth in Accessorial Section will apply.

National Holidays shall be defined as New Year’s Day, Labor Day, Independence Day, Memorial Day, Thanksgiving Day and Christmas Day. Pickups/deliveries on these dates will be subject to the applicable special pickup/delivery charges set forth in the Accessorial Section. In the event Carrier is requested to pick up/deliver on a Saturday or Sunday, which is also a National Holiday, we may only apply the single greater of the two applicable pickup/delivery charges set forth in the Accessorial Section.

Pick-up or ship date will not be considered a transit day for all service levels. Only Same Day and Air Priority service levels will consider the pickup or ship date as a transit day.

Shipments tendered to Carrier that are picked up outside the lockout service time parameters will be upgraded to the next level of service and applicable rate to meet the delivery date requirements requested.
Service Level Lockout Times

Carrier has established and uses shipment service level lockout times for your organization due to the location of your facility. On shipments of Next Day Service through Deferred Service, your company lockout time schedule is as follows: Ready time and notification of pick up prior to 1500 and closing time of 1700.
Special Pickup and/or Delivery Charges

When Carrier is requested to make special pickups and/or deliveries, subject to specific time restraints, weekends or holidays, Carrier shall be allowed to apply any and all appropriate accessorial charges set forth in the Accessorial Section.
Dimensional Weight Factor

The Dimensional Weight Factor shall be applicable to any shipment transported under this Agreement. The formula used to calculate dimensional weight is as follows: Length times Width times Height of the shipment divided by 194 cubic inches per pound, or otherwise stated:
Length x Width x Height / 194= dimensional weight.

TERMS AND CONDITIONS
Cargo Aircraft / Oversized Freight

Shipments which exceed forty-eight (48) inches in either length or width, and/or twenty-eight (28) inches in height and/or exceeding 300 pounds per piece shall be considered “oversize”. Oversized freight shipments requesting Next Day and Two Day Service levels only will be transported at the freight charges described in the Accessorial Section. Oversized shipments requesting Three Day Service and longer will be transported at the applicable service level rate.
Quoted Shipment Statement
Rates and service quotations by Carrier Employees will be based upon information provided by the Shipper, but final cost may vary based upon the shipment actually tendered and the application of these Conditions. Carrier will not be liable for any adjustments, refunds or credits of any kind as a result of any discrepancy between the rate or service quotation made prior to the actual tender of the shipment and what appears on the actual invoice, unless the rate or service applied at the time of the original invoicing is inconsistent with the shipment actually tendered.
Packaging and Markings
All packages must be prepared and packaged by the shipper for safe transportation with ordinary care in handling. Any articles susceptible to damage as a result of conditions encountered in air transportation, such as changes in temperature or atmospheric pressure, must be adequately protected by proper packaging. Each shipment must be accurately and legibly marked with the name, address and zip code of the Shipper and Consignee.
Inside Residential / Commercial Delivery
An “inside” delivery shall be defined as the delivery of a shipment to the internal confines of a residential dwelling or a commercial place of business. In the event Carrier is requested to provide this additional service, your organization will pay Carrier the applicable charges as agreed to in this agreement.
Lift Gate Truck Pick-Up / Delivery
When client requires Carrier to employ mechanical loading or unloading devices, including hydraulic lifting or lowering devices, to accomplish pickup or delivery services, the charges noted in the Accessorial Section for this service will apply. Liftgate truck charges will be included in the normal billing with the applicable freight charges and itemized separately.

TERMS AND CONDITIONS
Limits of Liability
A. Carrier liability for all shipments shall be limited to the lesser of $50.00 per shipment or $0.50 per pound of cargo lost or damaged, unless a declaration of value for carriage in the space designated on the air waybill and an additional valuation charge is paid. When such a declaration is made, our liability shall in no event exceed the declared value of the shipment, or the amount of loss and damage sustained, whichever is lower.

B. When the shipper makes a declaration of value on shipments moving between points in the United States an additional charge of $0.50 shall be assessed for each $100.00 (or fraction thereof) subject to a $10.00 minimum charge per shipment by which the value declared on the air waybill, at the time of receipt of the shipment from the shipper, exceeds $0.50 per pound or $50.00, whichever is greater.

C. Without prior written authorization from Carrier, the maximum acceptable insurance amount per air waybill is $25,000.00. Any effort to declare a value in excess of the $25,000.00 maximum allowed for in this provision shall be null and void, and Shipper expressly assumes all risk of any loss, damage or delay in excess of this maximum.

D. Carrier shall not be liable for any consequential, incidental or special damage, including but not limited to loss of income or profits, whether or not Carrier knew or should have known that such damages might be incurred. Notwithstanding anything else in these Conditions, Carrier shall not be liable for any loss, damage or delay to any shipment that is not adequately packaged by Shipper.

A. All claims, except for overcharges, must be made in writing within a period of 180 days after the date of acceptance of the shipment. Claims for overcharges must be made in writing within two years after the date of acceptance of the shipment.

B. Damage and or loss discovered by the Consignee after delivery and after a clear receipt has been given to the carrier must be reported in writing within 15 days after delivery of the shipment with privilege to Carrier to make inspection of the shipment and container within 15 days after receipt of such notice. If more than 15 days’ elapse between the date of delivery of the shipment by the carrier and notice of loss or damage by the Consignee, the Consignee shall show good cause why the loss or damage was not discovered earlier and timely notification given.

C. While waiting inspection by carrier, the Consignee must hold the shipping container and its contents in the same condition they were in when damage was discovered insofar as it is possible to do so.

D. No claim with respect to a shipment, any part of which is received by the Consignee, will be entertained until all transportation charges have been paid.

FUEL SURCHARGE APPLICATION
JET FUEL SURCHARGE – Applied to Shipments Traveling by Air

Client shall allow Carrier to apply a jet fuel surcharge per the price index listed below. The commercial and all-cargo airlines utilize a flat rated charge to cover jet fuel surcharges. Jet fuel prices are reported each Wednesday by the U.S. department of Energy http://tonto.eia.doe.gov/dnav/pet/petp-n_spt_s1_w.htm (Kerosene-Jet Fuel Type – Los Angeles) and will become effective the next business day.

FUEL SURCHARGE APPLICATION – (cont.)
GROUND FUEL SURCHARGE – Applied to Shipments Traveling by Surface

Client shall allow Carrier to apply a ground fuel surcharge for an emergency fuel surcharge. Fuel prices will be based on the National U.S. Average Fuel Price Index reported by the U.S.
Department of Energy http://tonto.eia.doe.gov/oog/info/gdu/gasdiesel.asp and will be updated the first Monday of each month. If Monday is a recognized federal holiday, the index will be determined the next business day, and will become effective the following business day. The fuel surcharge rate shall be applicable to Carrier freight charges, and will be determined by the Fuel Surcharge Index set forth in this Transportation Agreement. The fuel price range shall begin at $1.50-$1.54 per gallon, and will increase as shown below. Carrier shall only apply the fuel surcharge percentage to freight charges that coincide with applicable fuel price range.
SECURITY SURCHARGE APPLICATION

A Security Surcharge is to be applied to all shipments traveling via commercial aircraft. This charge is to be in effect with the date of this contract and will be in place indefinitely. The charge per bill is $15.00 minimum, $0.05 per pound, whichever is greater, and will be itemized on all billing and invoicing
HAZARDOUS GOODS

All shipments containing dangerous goods must be properly classified, described, packaged, marked and labeled and in proper condition for transportation according to the current edition of the International Air Transportation (IATA) Dangerous Goods Regulations. Each shipment requiring a Shipper’s Declaration for Dangerous Goods under the IATA Dangerous Goods Regulations must be accompanied by properly executed documents in conformance with the requirements of those Regulations. All Dangerous Goods shipments found not properly prepared in accordance with IATA regulations will be held for customer pickup. If the Shipper refuses to pick up or make other arrangements for delivery acceptable to Carrier, the Shipper will reimburse Carrier for all cost and fees of any type connected with the legal disposal of the Shipment. All damaged or leaking Dangerous Goods Shipments discovered by Carrier may be properly repackaged, prepared in accordance with applicable IATA regulations, and returned to the Shipper, at the Shipper’s sole expense. Any and all associated cost of clean-up, disposal, contracted regulatory action, or other expenses, including legal and governmental expense in the event of a shipment not in compliance with IATA regulations will be at the Shipper’s sole expense.

TSA Inspection Notice of Inspection Air – Cargo

Due to legal mandate established by the Transportation Security Administration effective March 12, 2007 the carrier is obligated to inform clients that all air cargo shipments are subject to inspection. Goods will remain secure and transit times protected.

ACCEPTANCE OF CONDITIONS

These Conditions contain the terms and rates applicable to the domestic transportation services of Carrier. By giving Carrier the shipment, Shipper agrees, regardless of whether Shipper signs the front of the Waybill for itself or as an agent for and on behalf of any other person or entity having an interest in the shipment, to all terms and rates contained in these conditions, the Non-Negotiable Air Waybill and, if applicable, any contract between Shipper and Carrier. If no Waybill is used or a substitute form of a Waybill is used to complete delivery of any shipment, the terms of the Carrier Air Waybill along with these terms and conditions will govern and the terms of any substitute form of Waybill or bill of lading will be deemed null and void. Rates attached are good for a period of 6 months. Thereafter, Carrier may increase the attached rates no more than once every 6 months and not more than 5% per period. If Carrier deems it necessary to increase charges more than is allowed above, Carrier shall notify Shipper by notation on invoices. This agreement binds the parties and their successors in interest.
TRANPSORTATION AGREEMENT

This agreement, when signed by both parties, assures compliance to the terms and conditions outlined herein. Signing this agreement signifies that your organization has received, and agrees to, the Terms and Conditions outlined herein; it is not an obligation to use Mr Right Logistics for client’s shipments.
